ProjectCollab Client Supplemental Terms
These Client Supplemental Terms (Client Terms) apply whenever you use ProjectCollab to post work, make an offer, hire a creator, approve a charge, or pay. They supplement the ProjectCollab Terms of Service (Master Terms) and Payment Terms.
1. Authority and account use
1.1 You must have authority to post the job, agree to its terms, use the selected payment method, and bind any organization you name.
1.2 An organization member may send a paid offer using the organization's saved method. Only the organization owner may add or remove payment methods or withdraw organization funds. If the sender loses membership or authority before acceptance, the offer cannot bind the organization and must be sent again by an authorized member.
1.3 You must keep billing details current. A creator's acceptance is not complete if capture fails or the saved payment method no longer matches the method authorized for the offer.
2. Job posts and offers
2.1 Give accurate information about scope, dates, location, working conditions, deliverables, client approvals, budget, and known hazards. Do not include an exact address in public free text; use the structured private location fields.
2.2 A published job freezes an immutable posting snapshot for the owner, client, lead, and original applicants. While open, the public sees a budget range. After booking, downstream crew see only their own offers. An original applicant may retain the exact snapshot and compare it with their own rate; that is an intentional result of information they legitimately received.
2.3 Before acceptance, applicants receive city and neighborhood only. Accepted participants receive the exact address, parking, access notes, and applicable call-sheet details.
2.4 You are responsible for reviewing an offer and any separate Service Contract. ProjectCollab does not become a party to the production agreement when it hosts a post, records acceptance, or processes payment.
3. Payment authorization
3.1 When an offer is accepted, you authorize ProjectCollab and Stripe to capture the agreed quote plus the separately displayed payment-processing fee. The processing fee is added to your charge and is never deducted from a creator's agreed allocation.
3.2 Card acceptance is capture-gated. If capture is declined, the offer remains pending until its original expiry and both sides see a failure notice; no live booking is created. If capture succeeds but booking finalization fails, the Platform retries idempotently and then refunds rather than leaving a paid but unusable booking.
3.3 ACH is available only when the expected banking-calendar clearing date is sufficiently before the shoot under the Platform rule. The booking remains payment pending, not live, while funds clear. Crew offers may be prepared but cannot be sent. If ACH fails or returns before activation, the booking does not become live and requires an explicit new attempt even if a later provider event appears successful.
3.4 If an ACH return or chargeback occurs after a booking becomes live, the booking stays live and the Platform records the loss. Crew already paid are not clawed back. You remain liable for the amount due, provider fees, and lawful recovery costs.
4. Client responsibilities on a production
4.1 You and the lead creator are the parties to the Service Contract. You are responsible for client-side decisions, access, approvals, materials, representatives, and obligations the accepted terms assign to you.
4.2 Unless the Service Contract assigns them elsewhere, you are responsible for lawful location access, permits, releases, site safety within your control, and accurate disclosure of hazards and special requirements.
4.3 Do not discriminate unlawfully, request illegal work, misrepresent a role, or use protected characteristics as an improper hiring criterion. Legitimate role requirements, performer casting needs, and legal safeguarding requirements must be described narrowly and lawfully.
4.4 ProjectCollab does not certify competence, insurance, criminal history, or suitability. The unqualified Verified label means only that the independent Portfolio Reviewed and Payment Ready gates are both satisfied.
4.5 The party engaging a worker must assess the actual relationship and satisfy applicable classification, employment, payroll, insurance and tax obligations. For a lawful contractor engagement, the parties agree the required result and commitments without giving ProjectCollab control over the creator's methods. ProjectCollab does not supply employment, payroll or employer-of-record services. Using this Platform does not authorize contractor treatment for a role that legally requires employment or transfer a non-delegable legal obligation away from its responsible party.
5. Changes, overtime, and additional capture
5.1 Your original captured commitment is the maximum that may be taken without asking you again.
5.2 An increase within the lead's own allocation does not increase your charge. An amount above your original commitment requires a separate top-up request stating the amount, reason, and covered allocations. You may approve or decline. Declining changes nothing and is not a dispute.
5.3 No top-up may be requested after wrap.
6. Attendance, cancellation, and refunds
6.1 At wrap, attendance determines which crew allocations must be protected. A client's refund is net of amounts owed to crew who attended. Crew who attended are paid regardless of a dispute between you and the lead.
6.2 ProjectCollab decides whether agreed work happened for Platform payment administration. It does not decide whether the work was creatively good. Dissatisfaction with quality does not by itself justify withholding an attended crew member's allocation.
6.3 If you do not attend or provide required access and no cancellation was issued, a creator who turned up and was ready to perform is owed the accepted amount under the current product rule.
6.4 Rescheduling by mutual agreement is the first priority. Payment Terms Section 11 states the 50% cancellation amount for client cancellation without rescheduling within 24 hours and how it is calculated. Existing bookings retain their accepted cancellation terms.
6.5 A refund request should identify the booking, amount, relevant accepted obligation, issue and supporting record. Discuss resolution with the hired creator first where safe and practical; report fraud, unauthorized activity or safety concerns directly to info@projectcollab.io without delay. A request does not itself entitle you to the amount claimed. Any settlement must be recorded, authorized and consistent with attended-crew protections. Payment Terms Section 12 controls refund destination and actual non-refundable processing costs. No compulsory store-credit refund is introduced.
7. Disputes
7.1 You must respond to a Platform payment dispute within three days and provide relevant evidence. ProjectCollab may propose a settlement, will issue a decision within five working days, and allows one appeal within seven days based only on new evidence.
7.2 The evidence rules, participant scoping, and payment consequences are in the Payment Terms. A dispute between you and the lead does not block attended crew pay.
7.3 ProjectCollab's administrative payment decision does not make it the arbitrator of the Service Contract or stop either contracting party from pursuing lawful remedies against the other under their contract.
7.4 A dispute must be opened before release. The wrap flow identifies release as final before confirmation. After release, ProjectCollab supplies the available agreement, conversation, and audit record, but does not reopen or reverse the Platform payment through its dispute process.
8. Chargebacks and payment-method disputes
8.1 Before release, contact ProjectCollab and use the Platform dispute process. After release, that process is closed; a payment-provider chargeback remains available under the provider's rules, and ProjectCollab may supply the available transaction record. A chargeback does not convert ProjectCollab into a party to the Service Contract or erase a valid payment obligation.
8.2 If you initiate a chargeback contrary to an accepted payment obligation, you must reimburse ProjectCollab for the unpaid amount and provider-assessed fees to the extent lawful. ProjectCollab may suspend new paid activity while an amount remains unresolved.
8.3 Nothing in the Platform dispute procedure prevents a timely, good-faith exercise of bank, card-network, statutory or regulator rights. Do not seek duplicate reimbursement for the same loss through both a Platform refund and a provider dispute. Report any credit already received so it can be reconciled. Provider proceedings do not reopen the Platform's post-release adjudication process or authorize taking unrelated crew funds.
9. Taxes, invoices, and records
9.1 You are responsible for determining any sales, use, withholding, payroll, or similar tax obligations arising from the Service Contract, except taxes ProjectCollab is legally required to collect or report.
9.2 Contracts and invoices may be viewed, signed, or paid without creating a Platform account when the product offers that path. An account invitation may follow the action but is not a condition of completing it.
9.3 Keep your own production, tax, and contract records. Platform records are operational records, not legal, accounting, insurance, or tax advice.
10. Additional promises and indemnity
10.1 You promise that your job, materials, instructions, payment method, location, communications, and conduct comply with law, the Service Contract, and the Acceptable Use Policy.
10.2 Your indemnity under the Master Terms includes claims arising from your production, location, materials, instructions, permits, releases, payment authorization, chargebacks, unlawful discrimination, injury, property damage, and breach of a Service Contract.
11. Conflict and survival
11.1 These Client Terms control over the Master Terms only for your client or payer activity. The Payment Terms control for money.
11.2 Sections concerning accepted work, payments, taxes, evidence, indemnity, limits of liability, and disputes survive account closure to the extent needed to resolve existing rights and obligations.
